Affiliate Terms & Conditions

1. Program Overview

The Nature’s Liquids Affiliate Program (“Program”) rewards approved affiliates (“Affiliate,” “you”) with commissions for referring new retail customers (“Referred Customers”) to Nature’s Liquids (“Company,” “we,” “our”). Participation is free; no purchase is required.

2. Eligibility & Enrollment

• You must be at least 18 years old and have a valid U.S. Taxpayer Identification Number (TIN) or international equivalent.

• You must submit a completed Form W-9 before receiving payouts.

• We reserve the right to accept, reject, or terminate any application or affiliate account at our sole discretion and without prior notice.

• By participating in this program, you consent to receive affiliate-related communications and to the use of your data in accordance with our Privacy Policy.
  
  

3. New-Customer Requirement

• Commissions are paid only on first-time purchases by Referred Customers who have not placed an order with us in the previous three (3) years and any subsequent subscription order for up to 1 year (See Section 4. Commission Structure).

• Referring an existing or recently active customer (anyone who has ordered within the past 3 years) is not allowed; such sales won’t earn commission, and repeated violations may result in forfeited commissions or removal from the program.
  
  

4. Commission Structure

*The 7 % subscription commission is paid on qualifying recurring orders for up to 12 months from the Referred Customer’s first purchase date, after which no further recurring commission is due. 

Example: Affiliate John’s first referral is a new customer, Beth, who signs up for a SeaAloe subscription: 3 bottles every 3 months at $109.98.

• On Beth’s initial purchase, John earns 15%:
  $109.98 × 15% = $16.50

• For each successful recurring subscription order over the next 12 months, John earns 7%:
  $109.98 × 7% = $7.70 per reorder

If Beth remains subscribed and places 4 successful autoship orders during that 12-month window, John would earn:

• $16.50 (initial)

• $7.70 × 4 = $30.80

• Total: $47.30 in commissions from that one referral over one year

After 12 months from Beth’s first purchase, any further reorders would no longer generate commissions for John.

• Cookie Duration: 90 days. The first link/coupon clicked sets attribution.

• We reserve the right to offer custom commission structures, bonus payouts, or promotional incentives to select affiliates at our sole discretion. These do not constitute a guarantee or obligation to other participants.

• Commissions are calculated on net order value (excluding taxes, shipping, discounts, returns).

• Payouts are issued monthly via PayPal once your payable balance reaches $25.

• Affiliates must have an active PayPal account to receive commission payments.

• If you do not have or are unable to set up a PayPal account, you must contact us in advance at customerservice@naturesliquids.com to discuss alternative arrangements.

• Failure to provide valid PayPal account information may result in delayed or forfeited payments.

• You are responsible for maintaining an active PayPal account.

• If your account is inactive for 6+ months, any unpaid commissions may be forfeited.
  
  

5. Prohibited Conduct

• Self-referrals or orders placed using your own link/code.

• Referring customers who have ordered from us in the past 3 years (Active Customers).

• Misrepresenting Nature’s Liquids, its products, or your relationship with us.

• Making any health, disease-treatment, cure, or prevention claims is strictly prohibited. Affiliates must not imply that Nature’s Liquids products diagnose, treat, cure, or prevent any disease. All marketing content (including text, video, images, testimonials, and social media posts) must be truthful, not misleading, and must comply with all FDA and FTC regulations related to dietary supplements and advertising.

• Affiliates are solely responsible for ensuring their content complies with applicable laws. Violations may result in immediate termination from the Program and loss of commissions.

• Paid search bidding on “Nature’s Liquids,” “SeaAloe,” or other Company trademarks without written permission.

• Spam, coupon-site scraping, link hijacking, or any deceptive practices.

• Nature’s Liquids reserves the right to audit any affiliate account and retroactively reverse commissions in cases of fraud, abuse, referral manipulation, or violation of these terms.
  
  

6. Compliance & Indemnification

You agree to operate in full compliance with:

• FDA and FTC regulations on dietary-supplement marketing.

• Federal, state, and local laws, including CAN-SPAM Act and data-privacy laws.
  
  

You will indemnify and hold harmless Nature’s Liquids from any claim, loss, or liability arising from your breach of these Terms or applicable laws.

7. Taxes & Reporting

• U.S. affiliates earning $600+ in a calendar year will receive a Form 1099-NEC.

• You are responsible for reporting and paying all taxes on commissions earned.
  
  

8. Program Modification, Suspension, or Termination

• Subject to Change: We may modify commission rates, tiers, cookie duration, payout schedule, or any other Program terms at any time in our sole discretion.

• We will provide at least 7 days’ notice of material changes via email or dashboard post; continued participation constitutes acceptance.

• We reserve the right to suspend or terminate the Program or any Affiliate account, with or without cause, effective immediately upon notice.

• Abuse, fraud, or violation of these Terms may result in retroactive cancellation of unpaid commissions.
  
  

9. Intellectual Property

We grant you a limited, non-exclusive, revocable license to use approved logos, images, and text (“Assets”) solely for promoting Nature’s Liquids. You may not alter Assets or create derivative works without written consent.

10. Limitation of Liability

Nature’s Liquids will not be liable for indirect, incidental, or consequential damages, or for lost profits, arising in connection with the Program—even if we have been advised of the possibility of such damages.

11. Governing Law & Venue

These Terms are governed by the laws of the State of Utah without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Washington County, Utah, and you consent to personal jurisdiction therein.

12. Entire Agreement

These Terms constitute the entire agreement between you and Nature’s Liquids regarding the Program and supersede all prior or contemporaneous communications.
